AGB | Allgemeine Geschäftsbedingungen Frame Studios
1. Rahmen
Diese AGB gelten für alle Aufträge von Frame Studios. Frame Studios arbeitet als Einzelperson oder Team und erstellt visuelle Inhalte, vor allem Fotografie, Film, Drohnenaufnahmen und Postproduktion. Mit der Annahme der Offerte oder der Nutzung der Leistung gelten diese Bedingungen als vereinbart und gelten auch für weitere Aufträge, solange nichts anderes schriftlich festgehalten wird.
2. Zusammenarbeit
Frame Studios setzt den Auftrag im vereinbarten Umfang kreativ und professionell um. Für ein gutes Resultat stellt der Kunde alles bereit, was dafür nötig ist, zum Beispiel Zugang zu Orten, Verfügbarkeit von Personen, relevante Informationen, Freigaben und Zeitfenster. Frame Studios darf Assistenz oder externe Partner einsetzen, wenn es dem Projekt dient.
3. Abnahme
Wenn etwas am gelieferten Material nicht stimmt, meldet der Kunde das innert 10 Tagen schriftlich. Ohne Rückmeldung gilt die Lieferung als abgenommen.
4. Dateien/Originale und Datenlieferung
Das Bild und Filmmaterial bleibt urheberrechtlich geschützt. Originaldateien wie RAW Dateien, Projektdateien oder Rohschnittmaterial verbleiben bei Frame Studios. Eine Herausgabe erfolgt nur, wenn das vorher schriftlich vereinbart wurde.
Die Lieferung der erstellten Inhalte erfolgt über ein passwortgeschütztes Online-Tool oder über gängige Übertragungsdienste wie Dropbox, WeTransfer oder vergleichbare Plattformen.
Die Lieferfrist für Fotos beträgt in der Regel bis zu 7 Tage nach dem Aufnahmedatum. Die Lieferfrist für Videos oder Filme beträgt – abhängig vom Umfang und Aufwand der Produktion – in der Regel bis zu 14 Tage.
Sofern sich die Lieferung aus wichtigen Gründen verzögert, wird der Kunde rechtzeitig darüber informiert. Ein Anspruch auf eine bestimmte Lieferplattform besteht nicht.
5. Nutzung des Materials
Der Kunde darf das Material so nutzen, wie es im Auftrag vereinbart wurde. Alles darüber hinaus braucht eine zusätzliche Freigabe. Wird Material ausserhalb der Vereinbarung genutzt, fällt eine zusätzliche Lizenz an, in der Regel 150 Prozent des Aufnahmehonorars, mindestens 150 Prozent des entsprechenden SAB Tarifs. Exklusivität oder Sperrfristen müssen separat vereinbart werden.Bearbeitungen, Composings, Montagen, Nachstellen oder jede Form von Weiterverwendung als Motiv sind nur mit schriftlicher Zustimmung von Frame Studios erlaubt. Wo üblich soll Frame Studios genannt werden.
6. Eigenwerbung und Referenzen
Frame Studios darf Arbeiten für das eigene Portfolio und zur Eigenwerbung verwenden und den Kunden als Referenz nennen. Wenn Frame Studios Inhalte darüber hinaus veröffentlichen oder weiter lizenzieren möchte, wird der Kunde vorher angefragt. Ohne schriftliche Ablehnung innert 30 Tagen gilt die Zustimmung als erteilt.
7. Termine, Absagen, Ausfall
Wird ein Termin weniger als zwei Kalendertage vorher verschoben oder abgesagt, werden bereits angefallene Kosten inklusive Drittkosten verrechnet, zusätzlich 50 Prozent des vereinbarten Honorars als Ausfallentschädigung. Bei Nichterscheinen ohne Abmeldung kann der Auftrag voll verrechnet werden. Absagen wegen Krankheit oder höherer Gewalt sind ausgenommen.
8. Mehraufwand und Wartezeiten
Wenn der Aufwand länger dauert als geplant, wird die Zusatzzeit nach effektivem Aufwand zum erhöhten Stundenansatz verrechnet. Wartezeiten wegen verspätetem Beginn werden zum reduzierten Stundenansatz berechnet.
9. Honorar und Zahlungsfristen
Rechnungen sind innert 30 Tagen zahlbar. Bei grösseren Produktionen kann eine Anzahlung von mindestens einem Drittel der Produktionskosten verlangt werden. Spesen und Zusatzkosten wie Reise, Location, Mieten, Modelle oder Assistenz sind nicht im Grundhonorar enthalten. Das Honorar bleibt geschuldet, auch wenn das Material später nicht verwendet wird. Bei Zahlungsverzug gilt eine Mahngebühr von CHF 20 pro Mahnung sowie 5 Prozent Verzugszins pro Jahr.
10. Verantwortung und Haftung
Frame Studios haftet nur bei grober Fahrlässigkeit oder Absicht. Der Kunde ist verantwortlich für korrekte Texte, Kontext und die Art der Veröffentlichung. Das Material darf nicht sinnentstellend verwendet werden. Entstehen Ansprüche Dritter aus der Nutzung, trägt der Kunde die daraus entstehenden Kosten.
11. Recht und Gerichtsstand
Es gilt Schweizer Recht. Gerichtsstand ist der Sitz von Frame Studios, zwingende gesetzliche Gerichtsstände bleiben vorbehalten.

Frame Studios
1. Scope
These Terms and Conditions apply to all assignments carried out by Frame Studios. Frame Studios may operate as an individual or as a team and produces visual content, primarily photography, film, drone footage, and post production. By accepting an offer or using the delivered service, the Client agrees to these terms. They also apply to future assignments unless otherwise agreed in writing.
2. Collaboration
Frame Studios delivers the assignment within the agreed scope in a creative and professional manner. To ensure a smooth production and a strong result, the Client provides everything required, including access to locations, availability of people, relevant information, permits or releases, and suitable time windows. Frame Studios may involve assistants or external partners where it benefits the project.
3. Acceptance
If anything in the delivered material is defective or not as agreed, the Client must notify Frame Studios in writing within 10 days of receipt. Without such notice, the delivery is deemed accepted.
4. Files, Originals and Data Delivery
All photo and video material remains protected by copyright. Original files such as RAW files, project files, and rough cut material remain with Frame Studios. They are only handed over if this has been agreed in writing in advance.
The delivery of the created content is carried out via a password-protected online platform or through commonly used transfer services such as Dropbox, WeTransfer, or comparable services.
Photographs are generally delivered within 7 days from the date of the shoot. Videos or films are delivered, depending on the scope and complexity of the project, generally within 14 days.
In the event of a justified delay, the client will be informed in due time. There is no entitlement to delivery via a specific platform.
5. Use of the Material
The Client may use the material only as agreed for the assignment. Any additional additionally use requires prior approval. If the material is used beyond the agreed scope, an additional license fee applies, generally 150 percent of the shooting fee, but at least 150 percent of the applicable SAB tariff.Exclusivity or embargo periods must be agreed separately. Editing, compositing, montage, reenactment, or any reuse of the material as a motif is only permitted with Frame Studios’ written consent. Where customary, Frame Studios should be credited.
6. Self Promotion and References
Frame Studios may use the work for its own portfolio and self promotion and may name the Client as a reference. If Frame Studios intends to publish the content beyond this or license it to third parties, the Client will be asked in advance. If the Client does not reject the request in writing within 30 days, consent is deemed granted.
7. Scheduling, Cancellations, No Show
If a date is postponed or cancelled less than two calendar days before the agreed time, any costs already incurred including third party costs will be charged, plus 50 percent of the agreed fee as a cancellation fee. If the Client does not show up without notice, the full fee may be charged. Cancellations due to illness or force majeure are excluded.
8. Additional Time and Waiting Time
If the work takes longer than planned, additional time is charged based on actual time at an increased hourly rate. Waiting time caused by a delayed start is billed at a reduced hourly rate.
9. Fees and Payment
Invoices are payable within 30 days. For larger productions, Frame Studios may request an advance payment of at least one third of the production costs. Expenses and additional costs such as travel, location, rentals, models, or assistants are not included in the base fee. The fee remains due even if the material is not used later. In case of late payment, a reminder fee of CHF 20 per reminder and default interest of 5 percent per year apply.
10. Responsibility and Liability
Frame Studios is liable only for gross negligence or intentional misconduct. The Client is responsible for correct texts, context, and the manner of publication. The material must not be used in a way that distorts its meaning. If third party claims arise from the use of the material, the Client bears the resulting costs.
11. Law and Jurisdiction
Swiss law applies. Jurisdiction is the registered seat of Frame Studios, subject to mandatory legal venues.
